The CEO and the Compensation Committee

Sarbanes-Oxley and the SEC disclosure proxy requirements have created a new dynamic between the CEO and the Compensation Committee.

"In the old days" the interaction between the Compensation Committee and the CEO usually revolved around annual bonus and equity pool determination and the setting of pay opportunities for the CEO and direct reports. Today the CEO (and CFO) need to sign-off on the Committee's Compensation Disclosure and Analysis (CD&A) included in proxy and 10K filings. This requires a higher level of interaction and intimacy with the Committee's analytics and decision making process.
